Where should I incorporate, and with whom?

Can you recommend the best place to incorporate for tax purposes, etc.? Delaware? Nevada> Off Shore?
I'm a Canadian national living in the Ohio with a Green Card.

Is there an online agency you might recommend?
While I'm at it, how about an attorney familiar with recruiting contracts?
